We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in conduct that we deem inappropriate or harmful to our Services or other users.

4. User Conduct

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Upload or transmit viruses or malicious code
• Spam, phish, or engage in any fraudulent activity
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Collect user information without consent
• Use automated systems (bots) without authorization
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of our Services
• Post discriminatory, offensive, or inappropriate content
• Use the Services for any illegal purpose

5. Content

5.1 Your Content

You retain ownership of any content you submit to our Services, including job postings, CVs, cover letters, and profiles ("Your Content"). By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display Your Content for the purpose of providing our Services.

5.2 Content Standards

All content must:

• Be accurate and truthful
• Not violate any third-party rights
• Not contain discriminatory, hateful, or offensive material
• Comply with all applicable laws and regulations
• Not contain confidential information without authorization

5.3 Content Removal

6. Job Postings and Applications

When posting a job, you agree to:

• Not submit false or misleading CVs or credentials
• Respect employer confidentiality requirements

7. Fees and Payment

7.1 Recruitment Services

Our recruitment services may include fees based on successful placements. Specific terms will be outlined in separate agreements with employers and recruiters.

7.2 Commission Structure

For successful placements made through our platform:

• Standard commission rates apply as per separate agreement
• Payment is due within 30 days of candidate start date
• Refund policies apply in cases of early termination

7.3 Payment Terms

All fees must be paid in accordance with the payment terms specified. Failure to pay may result in suspension or termination of services.

8. Intellectual Property

8.1 Our IP

All intellectual property rights in our Services, including but not limited to software, designs, logos, trademarks, and content, are owned by or licensed to Who Needs Engineers. You may not use, copy, or distribute any of our intellectual property without prior written permission.

8.2 Copyright Infringement

If you believe any content on our Services infringes your copyright, please contact us at legal@whoneedsengineers.com with:

• Location of the infringing material

• A statement of good faith belief

We do not guarantee that you will find employment or hire suitable candidates through our Services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHO NEEDS ENGINEERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Who Needs Engineers and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of another

13. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.

13.2 Jurisdiction

Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts of Munich, Germany.
